Club Terms of use

1. Purpose

Club terms of use sets forth the legally binding terms for your use of Club service provided by Softnyx.

2. Definitions

• (a) Club – Social networking service in order to communicate with users provided by Softnyx.
• (b) Nickname – A name designation that can be used to indentify member or for create and use with Club.
• (c) Member – A user registered Softnyx online service and make use of the Club service.
• (d) Club master – A member create Club or has the authority delegated.
• (e) Sub-master, Manager – A member has right to operate Club.
• (f) Operators - Club master, Sub-master, Manager
• (g) Suspended member – A member suspended during designated time for infringement with Terms of use or Community standards.
• (h) Administrator – Softnyx employee authorized to prohibit infringement with Terms of use or Community standards in order to administer Club service.

3. Creating a Club

• (a) Any Softnyx user is permitted to create Nickname or Club.
• However, a member is unpermitted to create or operate Club, including the following:
• i. Disturb the stability of a society, an offense against public morals.
• ii. Infringement with current law.
• iii. Pornographic and any explicitly sexual contents.
• iv. Illegal conduct that solicits personal information, defamatory or libelous.
• v. Violate intellectual property, portrait rights or any other rights of any person.
• vi. Impersonating or deceptive contents.
• vii. Commercial advertisement or performing any commercial activity.
• viii. Commercial use of any person or affiliate.
• ix. Any other infringement with Softnyx Terms of use, Club Terms of use or Community standards.
• (b) Softnyx may make changes to policies referenced in or incorporated by this Statement, we may provide notice on the Site, all Club members should comply with this Terms of use when creating or operating Club.

4. Role/Authority of operators, members

• (a) Club operators can recruit member within the limit of Terms of use.
• (b) Club operators can ask member to provide reasonable information, may refuse registration.
• (c) Club operators can designate member’s activity range or grade within the limit of Terms of use.
• (d) Club master can delegate operating authority to Sub-master or Manager.
• (e) Club master, Sub-master, Operators can’t provide personal information of any member without prior permission. Club master has all liabilities hereof.
• (f) All members (including Club master, Sub-master, Manager) should comply with Club Terms of use, Community standards, not permitted to violate any rights of any members.
• (g) Softnyx may limit access or use of service in order to provide quality of service or protect personal information.

5. Registration

• (a) Any Softnyx member can create Nickname and register Club at his wish. However, the member who is not permitted to register by Club operators can’t submit registration.
• (b) Club Registration is required to comply with Community standards or registration requirements created by Club operators.
• (c) Club operators can decide acceptance or rejection of registration in accordance with registration requirements and Community standards.

6. Content or materials

• (a) All rights of contents in Club belong to writer, Club operators can delete the contents or limit disclosure thereof.
• (b) Any contents infringed with Club Terms of use or Community standards is not permitted to post, the writer has all liabilities thereof.
• (c) Club operators should monitor contents or materials infringed with this Terms of use or Club Community standards, if operators detects the infringed contents or materials, MUST delete immediately and warn the writer and limit use of service.
• (d) A yardstick for judgment for this Terms of use and Community standards is in accordance with 3(a), including the following:
• 1. Commercial contents or materials
  - Current on sale or sold in the past
  - A limited license herein or affiliate made license contract
• 2. Contents or materials protected by Copyrights
  - Copyright owner is not permitted to release
  - Remove limit of function of Shareware, Demo
• 3. Injured contents or materials
  - Spreadable like as Viruses, malignant code
  - Intentional or malicious batch file or execute file
• 4. Pornographic and any explicitly sexual contents or materials
  - Exceed a range of standards of society
• 5. Violence or impersonating contents
  - Exceed violence
  - Impersonating or deceptive
• 6. Contents or materials that is ceased distribution in accordance with this Terms of use or Club.
• 7. Other disadvantage of Club members or Softnyx for infringement with Terms of use or Community standards.
• (e) Softnyx can administer contents or materials infringed with this Terms of use or Club Community standards, if Softnyx detects the infringed contents or materials, can delete immediately without prior notice.
• (f) Contents or materials in Club will be managed by Club Master or the writer, Softnyx don’t have liability for backup of data.

7. Warning/Termination of Club

• (a) Club master may terminate the Club at his own wish.
  However, no members should be in the Club except for Club master.
• (b) If Club is terminated, all the contents in the Club shall be deleted, non-Restorable.
• (c) Club activities under 3(a), Softnyx can warn Club master, consistent illegal activity may cause termination of the Club by Softnyx.
• (d) Softnyx has right to suspend or terminate operation of Club, including the following:
• 1. Club is being operated under Section 3(a) above.
• 2. In the case of no contents posted or no visit of any Club members in the past 3 months.
• 3. In the case of no members without Club master in the past 30 days.
• 4. More than 3 warnings caused by infringement with Terms of use.
• 5. Any transaction infringement under 6(d).

8. Membership Termination

• (a) Club member may terminate Membership at any time for any reason.
• (b) Club master may terminate any member’s membership by any reason and has right and liability thereof.
• (c) Club master has liability infringement with Terms of use or Community standards by Club member. Softnyx can terminate or limit membership of Club master and member with warning.
• (d) Club Master may transfer the authority in the case of suspended by Softnyx.

9. Miscellaneous

Anything not expressed in this Terms of use is covered by Club Community standards or Softnyx Terms of use. In the case of conflict with these terms, Club Terms of use has top priority.

This Terms of use has effect on the date of 1 June 2014.
